OVERVIEW: Governance

Healthcare Quality Strategies, Inc., (HQSI) is governed by our Board of Trustees. The Board has oversight responsibility, sets overall policy, and provides strategic direction for our organization. The Board ensures alignment with HQSI’s mission to accelerate healthcare quality improvement and upholds the highest business and ethical practices.

Our Board is comprised of eleven members with diverse backgrounds and expertise. A term of office of each member varies from one to three years with a maximum length of service of six consecutive years. Three members may be exempt from the six-year term limits, but no Board member may exceed nine consecutive years. Approximately 20% of the Board is appointed each year. Appointments are made annually at summer meetings or more frequently based on vacancies that may occur during the year. Recruitment is currently underway to fill one of the vacated Board positions. The Board meets quarterly, with subcommittees meeting on an ad hoc basis. Members are compensated for participation in Board meetings ($400 per meeting) and subcommittee meetings ($200 per meeting) and are reimbursed for travel expenses.
